These Terms & Conditions govern your use of adplusservices.in and any services delivered by AdPlus Services. Read them carefully.

1. Acceptance of terms

By accessing adplusservices.in or engaging AdPlus Services, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the site or the services.

2. Definitions

  • "AdPlus" means AdPlus Services and its personnel.
  • "Site" means adplusservices.in and its subdomains.
  • "Services" means the technology, marketing, and consulting services we deliver under a Statement of Work.
  • "Client" means the party engaging AdPlus under a Statement of Work.

3. Description of services

AdPlus provides digital services described on the site. Specific scope, deliverables, fees, and timelines are governed by a separate written Statement of Work (SOW) signed by both parties.

4. Eligibility & user obligations

You represent that you have the authority to enter into agreements with us and will use the site and services lawfully. You will not interfere with the site’s operation, attempt to gain unauthorised access, or misuse content.

5. Intellectual property

All site content is owned by AdPlus or its licensors and is protected by applicable law. Ownership of deliverables produced under an SOW is governed by that SOW; unless stated otherwise, ownership transfers on full payment.

6. Payments & invoicing

Fees, payment terms, and taxes are set out in each SOW. Invoices are payable within the timelines stated in the SOW. Late payments may attract interest and suspension of work.

The site may link to third-party resources. AdPlus is not responsible for the content, policies, or practices of third parties.

8. Warranties & disclaimers

The site and site-only content are provided "as is" without warranties of any kind. Services delivered under an SOW carry the warranties set out in that SOW; no other warranties, express or implied, apply.

9. Limitation of liability

To the maximum extent permitted by law, AdPlus is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability under an engagement is limited to the fees paid to AdPlus under the applicable SOW in the twelve (12) months preceding the claim.

10. Indemnity

Each party will indemnify the other against third-party claims arising from breach of its obligations under these Terms or an SOW, subject to the limits set out above.

11. Termination

Either party may terminate an SOW for material breach not cured within the period stated in the SOW. Fees for work performed up to termination are payable.

12. Governing law & jurisdiction (India)

These Terms are governed by the laws of India. The courts at [ City, State ], India have exclusive jurisdiction, subject to mandatory arbitration or dispute-resolution clauses in an SOW.

13. Changes to terms

We may update these Terms from time to time. Material changes will be posted on the site with an updated "Last updated" date. Continued use of the site constitutes acceptance.
